33-7636             International Disclosure Standards

The Commission is proposing to improve the comparability of
information provided to investors and securities markets
by issuers offering or listing-securities in multiple markets.
To achieve this goal, the Commission proposed revised
disclosure requirements for foreign private issuers to con-
form to the international disclosure standards endorsed by
the International Organization of Securities Commissions
in September 1998. Under this proposal, the international
disclosure standards would replace most of the non-finan-
cial statement disclosure requirements of Form 20-F, the
basic disclosure requirements of Form 20-F, the basic dis-
closure document for foreign private issuers.
