Sebastian BODU, MBA Avocat, Baroul Bucuresti ABSTRACT Withdrawal and expulsion have effects not only over one's position as a member of a company, by ceasing the membership, but also over the net assets of the issuer of the respective shares, own by the withdrawn or expelled member. These are acquired by the issuer, which either cancel them, either keep them as treasury. Due to the fact that members'corporate claims are satisfied over the very issuer, the question raised is the protection of the remaining members, and the creditors. This article analyses the creditors' protection, commenting the legal methods - a poor law, unfortunately - that ensures such protection. withdraal REZUMAT Retragerea si excluderea nu au efect doar asupra calitatii de asociat, care inceteaz6 in acest fel, ci si asupra activelor nete a[ societatii emitente a titlurilor de participare detinute de asociatul retras sau exclus. Acestea sunt dobAndite de emitent care, fie le anuleaz6, cu consecinta reducerii capitalului social, fie - in cazul actiunilor - le poate pastra ca actiuni proprii. Deoarece, prin dobAndirea propriilor titluri de participare, asociatii Tsi realizeaz6 creantele societare chiar pe seama emitentului, se ridic6 problema protectiei asociatilor ramasi si a creditorilor. Articolul prezentat trateaz6 problema protectiei creditorilor sociali, comentAnd metodele prev~zute de lege - o lege schioap6, din p~cate - care asigur6 respectiva protectie.
