Sebastian BODU MBA, A.S.E., Facultatea de Finante Avocat, Baroul Bucuregti Summary: The paper treats - from both theoretical and practical perspective - the consequences of the infringement, by the founders, of the legal requirements regarding the registration of a company. The paper is structured on the following chapters: (i) generalities, (ii) rejection of the registration form of a company, (iii) finding of trivial defects after the registration of the company, (iv) de facto company, with two sub-chapters: (i) effects of the annulment towards the company, and (ii) effects of the annulment towards the shareholders. The paper contains also fragments of comparative law (U.S.) and tries to offer positive interpretations to norms that are widely applied in the day-to-day practice of the attorneys. 1.
