         DIGEST

         1. Protest is denied where the record shows that the agency had a reasonable
         basis to conclude that the protester's proposal was technically unacceptable.

         2. Protest that the agency engaged in misleading discussions is denied where the
         agency led the protester to the area of concern multiple times.

         3. Protest that the agency failed to consider the effect of the sale of the awardee on
         its performance of the contract is denied, where the record shows that both the sale,
         and the awardee's notification to the agency of the sale, occurred prior to the
         submission of final proposals.
         DECISION

         Honeywell Technology Solutions Inc. (Honeywell), of Columbia, Maryland, protests
         the award of a contract to L-3 National Security Solutions, Inc. (L-3 NSS), of
         Reston, Virginia, by the Department of the Air Force, under request for proposals
         (RFP) No. FA8823-13-R-0009, for operations, maintenance, modification and
         testing services for the Air Force Satellite Control Network (AFSCN). The protester
         alleges that the agency's improper technical evaluation resulted in a flawed
         conclusion that the protester's proposal was technically unacceptable. Honeywell
         also alleges that the Air Force failed to consider the effect of the sale of L-3 NSS on
         its ability to perform the contract.
