 Gentlemen;

      Purther reference i, rule to your letter of January 4, 1973,
 and prior correspondence, concerning your claim for payment of
 437,317.87, representing amowits withheld by thu United States
 Army Electronics Connand (E= Q), under ,contract Non, J)AIf5-67-
 C-2529 and DAD5.69-C-0202.

      The subject contracts, awarded in 1968, provided for the
 instaflation of the Army's DSU/GU system to mechanize certain
 supply and stock manaianent functions in the Celd, The aystans
 insta),led under the above contracts were the JWC M0O Meriee
 magnetic ledger card computer systcns acquired by the Army on a
 lease with option to purchase basis pursuant to (eneral 8ervicen
 Administration Federal Supply Schedule contract No',, G3-O03-672fl
 for fiscal year 196. The DSU/GSU amendments to the F8 contract
 under which the computers were placed on rental inciludes the
 following provision as amendment No. 5:

     NCR wili provide the initial spare parts in each van or
     fixed site location in the 'amount of 3,654,91 and will
     supply initial depot spare parts stock in the wrount of
     41,613.98 per systen on those systems to be mointnned
     by the Government personnel, However, NCR wiLl retain
     title to these stocks of parts so long as the uyatemn
     remain on a rental contract, Should the systems be
     purchased, title to these parts wili be pansed to the
     Covernent at no additional cost. Additional parto
     required beyond those mentioned above will be purchased
     by the Government.

     It is reported by the Army that both the vning activity, Com-
puter Systes Cc., nnd, md NCR interpreted the above lanige uas
