THE BAPTISM!
This newsletter is the creation of the Committee on
Corporate Law Departments of the ABA Section of
Corporation, Banking and Business Law. Its objective
is the timely dissemination of news and information
deemed to be of particular interest to members of cor-
porate law departments, including items concerning
court decisions, administrative rulings and decisions,
and contents of law reviews and other publications.
Vigorous efforts will be made to avoid duplication of
other widely distributed publications which report or
comment on such items. Also included from time to
time will be news of the organization or activities of
state and local Committees or Sections on Corporate
Law Departments.
All concerned with the publication of News for
Corporate Counsel trust that their efforts and eager-
ness to be of real service will be received with genuine
interest and professional curiosity. Despite the many
other existing publications it is confidently believed
that there presently is a need which this newsletter can
help satisfy. Obviously, the content necessarily must be
a bit different from that which would appeal more ex-
clusively to a state or local group. It is expected, how-
ever, that most of the content generally will be of inter-
est to most corporate lawyers wherever they are located.
Normally publication will occur quarterly in months
in which the Section's THE BUSINESS LAWYER is
not published. It regularly will be a four-page news-
letter, but may also include a one or two page insert.
Should immediate publication of particular news ap-
pear advisable there may be additional issues.
This newborn progeny has now been baptized-
on with the efforts to make it grow and be a responsible
and respected citizen in the publications community.
MAILING LIST
Our mailing list will include those members of the
ABA Section of Corporation, Banking and Business
Law who are listed in the Section Directory as mem-
bers of Corporate Law Departments; those other Sec-
tion members who ask to be included on the mailing
list; and Chairmen of local and state Committees or
Sections on Corporate Law Departments. Copies of this
first issue will also be distributed to all members of
such state and local Committees and Sections.
YOU ARE WANTED!
Nonmembers are urged to join the American Bar
Association and to enroll in the Section of Corporation,
Banking and Business Law. Request an application
form from the Bar Center. If you are interested in legal
problems relating to corporations, it is imperative that
you belong to the Section, for which enrollment ABA
membership is a prerequisite.

RADIANT BURNERS
The Illinois State Bar Association and The Chicago
Bar Association have joined in an amicus curiae brief
filed in the Circuit Court of Appeals for the 7th Circuit
in Chicago. Amicus briefs have also been filed by the
ABA and the American Patent Law Ass'n. The appel-
lees' brief is due on March 18 and replies 15 days there-
after. Oral argument could be scheduled in May and
a decision is possible before the summer recess.
You will recall that this is the U. S. District Court
(Chicago) case in which Chief Judge Campbell ruled
that the attorney-client privilege does not exist for cor-
porations.
ETHICS OPINIONS
Informal opinions of the ABA Standing Committee
on Professional Ethics:
476. Where an attorney is freely selected and com-
pensated by the employee, is directly responsible to
him, and no conflict of interest exists, the mere
fact that he also represents the corporation for which
the employee works does not render his employ-
ment unethical.
523. While a lay adjuster may negotiate settle-
ments, it is improper for an attorney to delegate
his professional discretion to such a layman, or to
authorize him to make final settlements without his
approval. It is also improper for plaintiff's attorney
to communicate with lay adjusters of defendant's
insurance company while suit is pending without
the specific consent and approval of the insurance
company's attorney.
564. An attorney who has represented both a cor-
poration and a large stockholder in that corpora-
tion may not represent either in a controversy be-
tween the two, but may continue to represent both
in other matters.
RELATIONS WITH LAW SCHOOLS
This Subcommittee is preparing a booklet on corpo-
rate law department practice for use in the Subcom-
mittee's talks to law students and general distribution
to law schools. Chairman Abram T. Collier has assigned
Russell G. Saxby, Columbus, Ohio, and Joseph A.
Howell, Jr., Richmond, Va., to work with the Section's
Administrative Assistant on the booklet, which will tell
the corporate counsel story to law students and facul-
ties. Publication of the booklet by fall is planned.
Members of the Subcommittee speak annually at
leading law schools to inform students, and faculty, of
the nature of corporate law department practice and
opportunities in the field for young lawyers. In particu-
lar, they emphasize that corporate counsel are active
members of the Bar.
