§ 157. Dissolution of Corporation
Del.Ch.2021. Cit. in sup. Sweat-equity member of a cryptocurrency-mining firm brought an action
challenging the unilateral amendment of the firm's operating agreement by financial-equity member,
alleging that defendant's removal of plaintiff's owner from the board was in violation of the firm's
operating agreement. This court entered judgment in favor of defendant, holding, inter alia, that it lacked
the power to effectuate plaintiff's request for an equitable dissolution of the firm. The court explained
that the parties had agreed to convert the firm into a foreign entity, and, under Restatement of Conflict of
Laws § 157 and Restatement Second of Conflict of Laws § 300, corporate entities could not be dissolved
by foreign jurisdictions. In re Coinmint, LLC, 261 A.3d 867, 910.
