time. None of us, i am quiLe sure, wishes to continue tle Insti-
tute merely for the purpose of having Annual Meetings and
mnectings of the Council. The justification for the continuance
of the Institute must bC that it has on hand at least one major
project, which is of sufficient public and professional importance
to warrant all the labor and the interest that goes into the con-
tinuance of such an association as ours.
Therefore, oin the 6th of last November the Executive Con--
mlittee of the Institute met, and considered whether tie proposed
Code of Commercial Law of which the Sales Act (which we
complete this year) is an important division and would be of
sufficient value to warrant the continuation of our present organ-
ization.
We had had the experience of nearly two years of work on
the Sales Act, and it was the unanimous opinion of those present
of the Executive Committee-practically all the members werc
-1)resent-tltht it Was a worthy project, that it would justify our
continuance, and that every effort should be made tp secilre the
necessary funds.
One important member of the Executive Committee present
at that meeting was Mr. William A. Schnadcr, of this city, who
at one time was President of the National Conference of Coin-
inissioners on Uniform State Laws. He was the man who first
conceived the idea of a general commercial code for the United
States. Therefore it was very appropriate that he was made
Chairman of a Finance Committee, and it is also appropriate
that some time later in your proceedings he will make to you a
statement of the project, of why he thought of it, of its advan-
tages, and something in regard to the progress of the effort to
secure the necessary funds.
There is one other matter that I want to refer to before deal-
ing *with some of the points of the history and value or demerits
of the Restatement; that is to answer a question which has been
asked me this morning by several members: Are we going to
have any further discussion this year of an International Bill of
Rights? The answer to that question is no. The project, to the
extent to which we were committed when we secured the neces-
sary funds for its investigation and report, has been completed
