Drafting Executive Employment Agreements That Work
For Employers: An Annotated Model Agreement
Peter M. Panken and Jeffery D. Williams 33
Here are key questions and provisions that must be dealt with in executive
employment contracts. These contracts are often individualized by
company and by executive. The higher the level of the executive, the more
intense the bargaining will be and the more individualized the contract
terms will be. Nevertheless, this checklist and its sample language will focus
the negotiator and the drafter on the key elements of the agreement.

U.S. Export Controls And Economic Sanctions
-An Overview
Cecil Hunt 51
Recent developments have raised the stakes regarding compliance with
U.S. export control and trade sanction rules. The maximum civil penalty
that can be imposed administratively by the Commerce and Treasury
Departments is now twenty-five times the level of barely two years ago.
This overview givers executives and counsel who are more broadly
involved in international business dealings a relatively quick tour as a basis
for issue-spotting or question-asking that can help facilitate transactions
while keeping one's company or client out of trouble.
Updated from the AL-ABA Course of Study, Fundamentals of International
Business Transactions, May 8-10, 2008.
