The existence of coverage for environmental cleanup responsibility
under standard general liability insurance policies is now well estab-
lished and extensive litigation has defined the general bounds of avail-
able coverage. Nonetheless, various unresolved coverage issues im-
pede the quick and efficient settlement of many environmental
insurance claims.

When reviewing nonqualified executive compensation arrangements,
carefully consider the applicability of the Employee Retirement Income
Security Act of 1974 (ERISA). For the employer, characterization as
an ERISA plan means limited liability, but also reporting, disclosure,
and possible vesting and funding obligations. A non-ERISA plan is
subject to state law. This may mean consequential damages, punitive
damages, jury trial, and personal liability.

Buyers of bankruptcy assets must be concerned that an offer, even after
being accepted by the debtor, might not be acceptable to the bankrupt-
cy judge. Moreover, a buyer must worry that a another purchaser will
bid based on its due diligence and pending offer.
