To all recipients of
Proposed Final Draft No. 3 of the
Federal Securities Code
The attached Supplement to PFD3 reflects (inter alia)
the advisory group's meeting of September 28 - October 1.
I regret the necessity of leafing back and forth between two
documents, but there was barely time to get this Supplement
to you, let alone a fresh draft.
With Mr. Bialkin's concurrence, I suggest the following
order of discussion, which differs slightly from that speci-
fied in his letter of October 7:
(1) Parts III-VI (except that §§605-06, on tender offers,
will be discussed with §1603, on federal-state relations).
(2) Parts XIII-XVII.
(3) Parts X-XII.
(4) Parts VII-IXC (except that I don't anticipate any dis-
cussion of Part IXC at all, since the revision of that part is
awaiting final legislative action on the SIPC amendments).
The relevant definitions in Part II will be considered in
connection with the other parts of the Code to which they
primarily relate. And, since it will not be possible to go
through the entire Code section by section in three days,
selected issues relevant to a particular part may be ta.7en up
before that part is submitted for general discussion.
I look forward to seeing nearly all of you (I hope) on
October 26-28. These meetings in the past have always been
extremely helpful, and this may well be the last.
