        CHAPTER 8. EMPLOYEE OBLIGATIONS AND RESTRICTIVE COVENANTS

§ 8.02. Definition of Employer's Trade Secret

Del.Ch.2022. Subsec. (b) and com. (e) quot. in sup. (quoting subsec. (b) and com. (e) to § 8.02 of T.D.
No. 3, 2010, which is now subsec. (b) and com. (e) to § 8.02 of the Official Text). Limited-liability
companies, trusts, and principals of trusts sued former president of limited-liability companies, alleging,
inter alia, that defendant provided limited-liability companies' confidential information to outside parties
and wrongfully took such information with him upon leaving employment. This court entered judgment
in part for plaintiffs, holding that plaintiffs were entitled to a permanent injunction for the return of
relevant confidential information. The court rejected defendant's assertion that the information he
provided to outside parties was his general knowledge and skills under Restatement of Employment Law
§§ 8.02 and 8.03, because he disclosed specific information about limited-liability companies, such as
their deals and investment returns. Metro Storage International LLC v. Harron, 275 A.3d 810, 870.
