RE:       Revisions to Tentative Draft No. 11
As stated in the covering letter to Council Draft No. 17,
the Reporters have made numerous changes to Tentative Draft No.
11, which was approved by the membership at the AnnualMeetingii
May 1991. Most of these changes are purely editorial, and almost
all of the remaining changes have been made to better reflect the
underlying intention of the relevant Section or to reflect floor
discussion at the 1991 Annual Meeting. The revised version of
Tentative Draft No. 11 has not been distributed to the Council,
but it has been reviewed by the Advisers to the Council and
copies are available from the ALI office. Further copies will be
available at the Council meeting.
The purpose of this memorandum is to note those changes in
Council Draft No. 11 that the Reporters deem more significant.
The body of the memorandum briefly describes these revisions.
Attached to this memorandum are the pages of Tentative Draft No.
11 on which the revisions made. All revisions are shown by
balloon inserts or typed riders. Obviously, opinions may differ
about what changes are more significant, and while the Reporters
have used their best judgment, a revision that the Reporters do
not deem to be significant may be deemed important by others.
PART I
1.   Section 1.02. (a) Section 1.02 defines the term
associate. This definition is relevant chiefly in connection
with Part V (Duty of Fair Dealing). Following a suggestion made
at the 1991 Annual Meeting, the original definition in Subsection
(a)(1) has been revised to adopt the definition of related
person in the conflict-of-interest provisions of the Revised
Model Business Corporation Act -- a definition that was adopted
after Section 1.02 was originally drafted.
