                   I.  Introduction


         I am forwarding for the Commission's consideration a
    series of documents concerning the proposed trade regulation
    rule on funeral industry practices.  Specifically, the
    following materials are being submitted:

         1).  Staff's summary of the initial comments filed in
              response to the Federal Register notice of
              January 22, 1981;

         2)   Staff's summary of the rebuttal comments filed
              in response to the same notice, as.extended by
              the Commission's Federal Register nb&tice of
              I.pril 14, 1981;

         3)   Staff's memorandum of June 26, 1981, with attach-
              iaents, making recommendations for a final rule;

         4).  Mr. McCarey's memorandum of June 29, 1981,
              raising several points of disagreement with the
              rulemaking staff and with my recommendations; and

         5).  A draft letter from the Secretary to the oral
              presentation participants, transmitting all of the
              documents described above, as well as this memor-
              andum, and inviting them to address these materials
              at the oral presentation on this rule.

         I recommend that the Commission authorize the placement.
    of these materials on the rulemaking record, and their
    distribution to the oral presentation participants.
