or exemptions therefrom pursuant
to § 416(b) of that Act.


                        ORDER GRANTING EXEMPTIONS

     By application filed May 10, 1982, AIA Industries, Inc. (AIA) seeks
approval under, or exemption from, §§ 408 and 409 of the Act for the common
ownership and interlocking relationships that would result from its pro-
posed acquisition of various transportation-related entities. The appli-
cation states that AIA is a holding company whose purpose is to own the
shares of the other applicants. American International Airways, Inc.
(Airways) is a certificated charter carrier 1/ engaged predominantly in
single entity charters on behalf of hotels located in Atlantic City, New
Jersey, as well as public charters from the northeastern United States to
Florida and Caribbean points. Atravco, Inc. arranges hotel accommodations
and ground transfers and also owns a travel agency, Hurst Travel Company,
accredited by ATC and IATA. The travel agency holds a bus broker's license
from the Interstate Commerce Commission. 2/ Atlantic City Group Services,
Inc. (ACGS) is an inactive firm that will also offer such ground handling
services as hotel accommodations and airport transfers to Atlantic City
travelers. Air Division, Inc. (ADI), is an air taxi operating under Part
298 of the Board's regulations with one Piper Navajo capable of transport-
ing a total of six persons. 3/ A.C. Travel Service, Inc. (A.C.), an
inactive company, will acquire the Hurst Travel Company in Atlantic City
upon liquidation of Atravco. American International Transport, Inc.
(Transport), which has no outstanding stock, is now in the process of
acquiring an inactive motor bus operator, Lee Bus Lines, Inc. 4/

2/   The applicants intend to liquidate Atravco and transfer its assets to
     another entity involved in this transaction, A.C. Travel Service, Inc.

3/   ADI has not engaged in a charter since September, 1981.

4/   Lee Bus Lines is authorized by the State of New Jersey to engage
     in intrastate special service and charter bus transportation only.
