Fitness Determination of

     TENNESSEE VALLEY AIRWAYS, INC.

under Section 419(c)(2) of the Federal
Aviation Act of 1958, as amended


                                FINAL ORDER

     By Order 81-11-108, adopted November 17, 1981, we directed all interested
persons to show cause why we should not make final our tentative conclusion
that TDennessee Valley Airways, Inc. (TVA) is fit, willing, and able to
provide service as a commuter air carrier.

     The order directed persons objecting to the tentative findings set forth
in that order to file their objections within 10 days. In addition, the
order provided that if no objections were filed, all procedural steps would
be deemed waived, and the Secretary would enter an order making final the
Board's tentative findings.

     No objections to Order 81-11-108 have been received.

     ACCORDINGLY,

     1. We find that Tennessee Valley Airways, Inc. is fit, willing, and able
under section 419(c) (2) of the Federal Aviation Act to provide scheduled
passenger service as a commuter air carrier, and that its aircraft comply
with applicable safety standards; 1/ and

     2. ,We will serve a copy of this order on the persons listed in Attach-
ment A to this order.

1/ Operations by TVA are, of course, contingent upon the carrier's continuing
to meet the registration and insurance requirements of the Board's regulations
(contained in Part 298) and maintaining the appropriate authorization from
the FAA.
