                               ORDER
By Order 85-11-67 (issued on October 31, 1985 and effective
December 1, 1985), the Secretary of Transportation approved the
sale of Pan American World Airway's International Pacific Division
to United Airlines, Inc. The approval was subject to the
condition that, should.the Department determine in a future
proceeding that the public interest would be served by authorizing
another U.S. flag carrier to provide service on the Seattle/
Portland-Tokyo route, United would surrender its authority to
provide such service within sixty days of the issuance of an order
directing it to do so. The approval was subject to the further
condition that the certificates transferred should be temporary
and experimental under section 401(d)(8) of the Act.

By letters dated November 27, 1985, the Chief Executive Officer of
United and the Senior Vice President for Government Affairs of Pan
American indicated their carriers' acceptance of these conditions.
As a result, the precondition to cancellation of Pan American's
international authority and issuance of that authority to United
has been satisfied. In accordance-with the provisions of ordering
paragraphs 6, 7 and 8 of Order 85-11-67, this order cancels Pan
American's certificate authority for Routes 115, 130 and 246,
issues that authority to United (subject to the conditions
described above), transfers any exemption authority held by Pan
American relating to the Pacific area (other than to routes solely
between the U.S. Mainland and Hawaii) and temporarily exempts Pan
American from the provisions of section 401 of the Act to permit
it to continue to perform service at each of the points in issue
pending United's inauguration of service to each such point. J/

1    In the event the transaction does not close, all route
certificates and authority will immediately revert to Pan American
under the same terms and conditions (including duration) as
existed prior to the time this order issued.
