     Showing that the Government is bound to fulfil in good
                 faith its contract with the
        Central Branch Union Pacific R. R. Company.


                             WASHINGTON, March 7, 1870.
Hon. HIENRY WILSON:
  DEAR SIR-In reply to your note of the 4th, inquiring
 whether I have investigated the right claimed by the Cen-
tral Branch Union Pacific Railroad Company, under the
laws of Congress, to construct a section of railway for the
purpose of connecting the western terminus of their present
road with the Union Pacific railroad, at the 100th parallel
of longitude, on the same terms and conditions as were pro-
vided for the construction of the 'main trunk,'  and, if
such investigation had been made by me, what conclusion I
had come to, and the reasons on which that conclusion was
founded, I have the honor to state that I was retained,
some time since, as one of the counsel for that company. I
have carefully examined the laws of Congress and the facts
relating to the subject of your inquiry, for the purpose of
advising my clients, and that I will now gladly avail myself
of this opportunity of stating the views I entertain, in the
hope that they may prove not unworthy of your se:ious con-
sideration.
  TheCentral Branch Union Pacific Railroad Company is
now represented by gentlemen who became its principal
directors and stockholders in 1865. By an arrangement
