This matter :comes before the Coutt on the trustee's motion
for action on the Referee's report dated September 13, 1972, in
which the validity of certain creditors' claims was resolved, 'the
solvency of the debtor was determined, and certain decisions about
pending reorganization were made.
Pursuant to Bankruptcy General Order 47, 28 U.S.C.A., the
Court must accept the Referee's Findings of Fact unless clearly
prroneous, but can otherwise adopt, modify or reject the Referee's
report or any part thereof. With these standards in mind, the Court
has considered the records, proceedings and all other files herein,
including the various briefs and memorandums of the parties involved
and the arguments of counsel at the hearing of September 29, 1972.
