1860.   pany to sell such delinquent shares, and transfer the same
to the purchaser, or declare them forfeited to the company
with all previous payments made thereon. No transfer of
stock shall be valid and complete, so long as the person
transferring the same shall be indebted to the said com-
pany, until the amount for which he is indebted shall be
secured to the satisfaction of the president and directors;
and the stock of every stockholder shall be held as collat-
eral security for the payment of whatever sum he may be
indebted to said company by notes for stock or otherwise ;
and the president a~ld directors may require of any stock-
holder additional security on his unpaid stock note, if they
deem said note to be unsafe; and in case of failure to com-
ply with such requisition, said stock may be sold or forfeited
to the company.
§ 11. That the president, secretary, and directors for the
Officers to be time being shall have power to appoint such officers and
appointed,  agents under them as shall be necessary for executing the
business of said company, and to allow such compensation
as may be agreed upon, and require bond and security for
the discharge of their respective duties and trusts.
§ 12. All policies of insurance or other contracts author-

§ 13. That whenever said corporation shall be notified

corporation to pay the amount so lost or incurred on such
policy within sixty days after notice and protest and proof
of said loss: Provided, There shall have been no violation
of the conditions of the policy on the part of the insured.

porate powers. gether with their associates, successors, and assigns, be,
and they are hereby, ereated and made a corporation and
body politic, under the name and style of the Union In-
surance Company, of Louisville, and shall continue until
