CHAPTER 450.                       1854.
AN ACT incorporating the Hickman and State Line Plank Road Com-
pany.
§ 1. Be it enacted by the General Assembly of the Common-
wealth of Kentucky, That Wm. Owens, jr., R. C. Prather,
Jesse Edmonson, H. C. Catlett, and N. N. Cowgill, and
their successors and associates be and they are hereby cre-
ated a body politic and corporate, with perpetual succes-
sion, for the purpose of constructing a plank road from the
town of Hickman, in Fulton county, to a point on the state
line near the residence of the late James Mills, dec'd, in the
direction of the town of Dresden, Tenn., by the name and
style of the Hickman and State Line Plank Road Compa-  style of Incor
ny; and by that name and style shall have power and au- poration.
thority to contract and be contracted with, sue and be
sued, plead and be impleaded, defend and be defended in
all courts of law and equity in this commonwealth or else-
where; and to have and use a common seal, and the same
to alter, renew, or change at pleasure ; and generally to
do and perform every act and thing necessary and proper
to carry into effect the object of this act, and the purposes
for which the corporation hereby created is designed.
§ 3 The capital stock of said company hereby incorpora- Capital stock.
ted shall be sixty thousand dollars, to be divided into
shares of one hundred dollars each.

commence the work, with a view to its completion; but
said company shall not be organized by the election of
officers, as hereafter provided, until at least the sum of six
thousand dollars of the capital stock shall have been sub-
scribed for as herein provided ; and when that sum or
more shall be subscribed, then the company shall have the
right to organize and proceed to the election of officers, as
hereinafter provided.

rection of a president and four managers, who shall be
stockholders, and who shall be chosen by the shareholders
at such time and place as may be appointed by the per-

of stock shall be entitled to one vote ; and at least three
days previous notice, in the paper published in the county,
shall be given of the time and place of this election; and
thereafter the election shall be held in such manner as
may be provided by the by-laws of the president and board
