From the Section Chairman...
Let me outline my objectives as chairman of the
Section for this year:
To have the Section speak out on major issues of
corporate law
The American Law Institute Project on Corporate
Governance is a good example. We have already given
to the ALl some comments on its proposed principles of
corporate governance. That effort will continue.
Tender offer legislation, new environmental initiatives,
and structural changes in banking and other financial
fields will undoubtedly attract our attention. We shall
not hestitate to speak up.
To broaden the leadership base of our Section
Our officers, committee chairmen, and committee
members have too often been white male partners in
large law firms. I will make every effort to appoint
outstanding lawyers from under-represented groups --
women, minorities, academics, corporate counsel -- to

Council and Chairmen Discuss Association
and Corporate Governance
The Section Council and committee chairmen
held their annual meeting on August 4 and 5 during
the Annual Meeting of the American Bar Association
in Chicago.
The Council urged Section members to attend
the ABA Assembly and support the recommendations
of the Special Commission on Association Gov-
ernance. These amendments to the association's
constitution were presented to the opening meeting
of the Assembly on Monday morning, August 6.
Section members showed up in strength at the
Assembly meeting, and the amendments passed
without opposition. Pursuant to these amendments,
