                          CONSTITUTION


                                OF THE


          LYTTON BAND OF POMO INDIANS

                     OFFICIALLY ADOPTED ON AUGUST 30, 1996

      We, the members of the Lytton Band of Porno Indians, in order to enhance
our tribal organization and government, develop our community resources,
administer justice, promote the economic and social welfare of ourselves and our
descendants, secure our aboriginal land and any and all natural resources therein,
and preserve our culture and institutions, do hereby ordain and establish this
constitution as a guide for the deliberations of our council in its administration of
tribal affairs. By approval of this Constitution, the members of the Lytton Band of
Pomo Indians confirm their desire to organize the tribe pursuant to the Indian
Reorganization Act of 1934, 25 U.S.C. §461, e.

                                   Article I

                               JURISDICTION

L.I The territorial jurisdiction of the Lytton Band of Porno Indians shall include
all lands within the boundaries of the Lytton Reservation now held or subsequently
acquired in fee by the Lytton Band of Porno Indians or held in trust by the United
States for and possessed or occupied by the Lytton Band of Porno Indians or its
members.

                                  Article II

                               MEMBERSHIP

2.1   The membership of the Lytton Band of Pomo Indians shall consist of all
persons on the Base Roll of the Lytton Band of Porno Indians at the date of the
original approval of this Constitution by the Lytton Band of Pomo Indians and their
descendants, and all persons named in the attached Distribution Plan and their
descendants, and thereafter shall consist of all persons duly approved for
membership pursuant to the provisions of a duly enacted Enrollment, Voting and
Membership Code.

2.2   The Lytton Band of Pomo Indians General Council may, by an affirmative
vote of two-thirds (2/3) of all of the enrolled members, adopt any person as an
honorary member of the tribe, provided: That such honorary membership shall not
