Regulating International Business through Codes of Conduct, by Ray-
mond J. Waldmann, examines a relatively new phenomenon-inter-
national codes of regulations for multinational enterprises and inter-
national business transactions. These codes have become a focal point
in the North-South dialogue, between the less developed countries
and the economically developed world of Europe, North America, and
Japan.
     Waldmann describes two completed international agreements-
the Andean Investment Code and the Organization for Economic
Cooperation and Development (OECD) code for multinational enter-
prises-which serve as precursors of three major proposed codes.
     The Code of Conduct for Liner Conferences represents a victory
for the less developed countries in the United Nations Conference on
Trade and Development (UNCTAD) that would significantly affect all
shipping lines in a trade. The UNCTAD Code of Conduct on the
Transfer of Technology is based on concepts hostile to the West, to
multinational corporations, and to technology transferors. And the
ideas contained in the UN-sponsored Code of Conduct for Trans-
national Corporations are so sweeping that it could not be enforced
and might deter the growth of the world economy. Nevertheless, the
author sees the code negotiation process as a significant development
holding some promise for an increasingly interdependent world.
     The study includes three appendixes: OECD Declaration on
International Investment and Multinational Enterprises; Draft Codes
of Conduct on the Transfer of Technology Proposed by the Group of
Seventy-Seven and by Group B; and Annotated Outline for a UN
Code of Conduct.
     Raymond J. Waldmann is an attorney in private practice in
Washington, D.C. He was formerly staff assistant to the President
and deputy assistant secretary of state for economic and business
affairs, heading the U.S. delegations to over thirty negotiations, in-
cluding those on the Liner and Technology codes.
